General Summary

Responsible for overseeing all aspects of practice investment opportunities.
Assess whether practices meet minimum qualifications, oversee financial modeling, develop valuations, make investment recommendations and decisions, lead deal negotiations with sellers, develop letter of intent (LOIs), and oversee due diligence and closing activities for generally large volumes of small to medium-size transactions.

Essential Functions

Participate and collaborate in making investment recommendations and decisions

Perform fundamental financial and operational analysis, including site visits, and communicate recommendations to leadership

Use business acumen and industry expertise to inform the transaction structure and prepare the letters of intent in collaboration with legal counsel enabling the business to achieve target return on investment (ROI) and other business objectives

Act as the primary point of contact for seller from LOI through transaction close

Provide the seller with the support needed to ensure the close timeline is realized

Build relationships with the seller and lead the project such that all material information is discovered and communicated during the diligence process

Identify and communicate opportunities to optimize the investment portfolio through growth strategies, deal structuring, and optimization of the operational model

Identify and communicate risks and develop solutions for matters identified as needed throughout the due diligence and close process

Define the deal timeline and lead merger and acquisition efforts from initiation through closing including negotiations; operational, legal and financial due diligence; completion of purchase and other related legal documents; and wire transfer support, among other items as needed to ensure timely transaction close dates

Develop and use best practices, tools, templates and standardized merger and acquisition processes

Actively monitor and share information on emerging industry-relevant deal trends and events

Mentor and develop other associates, interns, and business partners

Job Specifications

Typically has the following skills or abilities:

Bachelors Degree in Business Administration or related field or equivalent experience

Minimum eight years of progressive work experience including financial modeling, scenario planning, mergers and acquisitions, business optimization, and customer facing and/or sales experience

Demonstrated proficiency with Word, PowerPoint, Excel, SharePoint, and Salesforce

Knowledge of project planning techniques

Excellent planning and organizational skills

Effective interpersonal and written communication skills

Must be able to travel up to 25% of the time

Ability to regularly exercises discretion and independent judgment in the performance of his/her job duties.

Preferred Skills

Experience with small to medium-sized practice acquisitions (any specialty, but optometry is preferred).

Ability to effectively lead communications with doctors and internal stakeholders.

Ability to independently prioritize work, escalate and solve issues, and hit goals and deadlines with minimal supervision.

The working environment is generally favorable.
Lighting and temperature are adequate, and there are no hazardous or unpleasant conditions caused by noise, dust etc.

The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
